Purpose: Ensures that the Society’s Bylaws accurately and clearly reflect the Society’s procedures and operations
Tasks:
- Review the bylaws periodically to ensure that they are up-to-date.
- When the need arises, propose amendments to the bylaws that reflect changes or nuances that the board identifies.
Time commitment: Variable
Typical schedule: The bylaws committee only needs to meet when there is a bylaws issue that is raised by the Board. The nature of this committee is that when a bylaws issue arises, the committee will need to meet over the phone or by other electronic means within a reasonable period of time to address the issue the Board has sent to them in an expeditious manner.
Other considerations: The Society’s governing Board, its President or CEO will consult with the Bylaws committee when an issue arises that needs its attention. The Bylaws committee does not make policy; its charge is to craft language that reflects such decisions by the Board.
